As a product marketer, a lot of my responsibility is around the go-to-market activities of a new or existing product. What does a great Staff Counsel, Corporate do?

As a Staff Counsel, you would provide legal support on securities, corporate governance and executive compensation matters, including preparing and reviewing SEC filings, Section 16 filings, and other public disclosure documents, preparing for annual shareholder meetings, assisting with executive compensation and global equity initiatives and compliance, and advising on corporate governance, investor relations, tax and treasury-related matters.

As a Staff Counsel, you can look forward to:

  • Being a part of a congenial and collaborative legal team

  • Preparing and reviewing SEC filings, including 10-Ks, 10-Qs, 8-Ks, Section 16 filings, proxy statements, registration statements, etc. and providing securities law and compliance guidance for earnings releases, investor materials and management presentations

  • Ensuring compliance with securities, corporate governance and general corporate laws and regulations and NASDAQ rules, and advising on guidelines from industry organizations that affect public company reporting or compliance including investor and proxy advisory firms voting policies

  • Preparing for annual shareholder meetings, including proxy statements and meeting planning and compliance

  • Advising on executive compensation matters, including incentive plans and programs, global equity administration and related public company disclosure considerations

  • Supporting the preparation of materials for the board of directors and its committees related to corporate governance, securities, executive compensation and equity plan matters

  • Working on public debt offerings and credit facilities

  • Effectively partnering with other departments, including Corporate Accounting, Investor Relations, Treasury, Tax, Corporate Communications and Human Resources, to provide legal support on a wide range of matters

  • Developing knowledge of external governance trends, SEC issues and best practices affecting public disclosure requirements and governance policies and practices

Qualifications for consideration:

  • JD from accredited law school
  • Licensed to practice, or ability to become licensed to practice, in appropriate jurisdiction
  • In good standing with State Bar with no disciplinary record
  • 4+ years of proven securities, corporate governance and executive compensation experience, including strong working knowledge of rules and regulations applicable to publicly traded companies

Preferred qualifications for consideration:

  • Experience preparing and reviewing SEC filings, including Section 16 filings, to ensure compliance with SEC and NASDAQ rules and regulations

  • Familiarity with ESG trends and proxy advisory firm policies

  • Executive compensation and equity plan experience preferred

  • Exposure to complex corporate finance and securities transactions including securities registration statements, public debt offerings and credit facilities

  • Ability to partner with and communicate legal considerations to Corporate Accounting, Investor Relations, Tax and Treasury stakeholders

  • Ability to analyze complex legal and regulatory material, clearly communicate implications and recommend an appropriate course of action

  • Ability to travel 10%
